Mastertech.ai Platform and Shop Connect Terms of Use

1. Acceptance of These Terms
These Mastertech.ai Platform and Shop Connect Terms of Use (these “Terms”) govern your access to and use of the Mastertech.ai website, application, and related services (collectively, the “Platform”), and your participation in the Mastertech Shop Connect data-sharing program (the “Program”). The Platform and the Program are owned and operated by AutoVitals, Inc. (“AutoVitals,” the “Company,” “we,” “us,” or “our”).
By signing the AutoVitals Software and Service Agreement (the “Agreement”), and by accessing, browsing, or using the Platform, you (“you,” the “User,” or the “Shop”) acknowledge that you have read and reviewed these Terms and agree to be bound by them as a legally binding agreement with AutoVitals. You represent that you have the legal authority to enter into these Terms on behalf of your business. If you do not agree to these Terms, do not sign the Agreement and do not use the Platform.
We may change, modify, or otherwise update these Terms at any time. We will provide notice of material changes in advance where required. Your continued use of the Platform, or continued participation in the Program, after changes take effect constitutes your binding acceptance of the changes.
2. Eligibility and Age Restriction
The Platform is not targeted toward, nor intended for use by, anyone under the age of 13. By using the Platform, you warrant and represent that you are at least 13 years of age and that you have the legal capacity to enter into a binding agreement. Should we be made aware of any user information pertaining to individuals under the age of 13 collected without verifiable parental consent, efforts will be made to promptly delete such data. Concerns about the information of children under the age of 13 should be directed to [email protected].
3. License to Use the Platform
AutoVitals hereby grants you a revocable, non-exclusive, non-transferable license to view, download, and use the Platform solely for your personal, non-commercial purposes, strictly in accordance with these Terms. You acknowledge that all intellectual property rights in the Platform and its content are owned by or licensed to AutoVitals and are protected by applicable intellectual property laws. Except as expressly set forth herein, no right, title, or interest in any content is transferred to you.
4. Intellectual Property and OEM Copyright Notices
The Platform incorporates content and data provided under license from original equipment manufacturers (OEMs) and other third parties. The following notices apply to that content:
Chrysler/FCA Copyright. Portions of materials contained herein are sourced by FCA US, LLC.
Ford Copyright. This product contains copyrighted and other protected material owned by Ford Motor Company. Unauthorized use or reproduction, in whole or in part, is prohibited.
General Motors. Portions of materials contained herein have been reprinted under license from General Motors, LLC, License Agreement #2310717, as amended or superseded.
Honda Copyright. Portions of materials contained herein have been reprinted under license from American Honda Corporation, License Agreement 16203AH. 5. Prohibited Conduct and User Obligations
As a condition of your use of the Platform, you agree not to use the Platform for any purpose that is unlawful or prohibited by these Terms or the Agreement. You may not:
(a) Copy, modify, or distribute content from the Platform except as expressly permitted by AutoVitals.
(b) Use the Platform for any commercial purpose or for the benefit of any third party or in any manner not permitted by these Terms.
(c) Attempt to access or search the Platform or its content, or download content from the Platform, through the use of any engine, software, tool, agent, device, or mechanism other than the software or search agents provided by AutoVitals or other generally available third-party web browsers.
(d) Access, tamper with, or use non-public areas of the Platform, AutoVitals’ computer systems, or the technical delivery systems of AutoVitals’ providers.
(e) Disable, overburden, damage, or impair the Platform, or interfere with any other party’s use of the Platform.
(f) Introduce any viruses, trojan horses, worms, logic bombs, or other material that is malicious or technologically harmful.
6. Mastertech Shop Connect Program
6.1 Overview
Mastertech Shop Connect (the “Program”) is a data-sharing initiative that allows participating automotive repair shops (“Shops”) to share diagnostic data, and parts and labor information from past repair orders, with other participating Shops. Data shared through the Program is de-identified and aggregated as described in this Section.
6.2 Enrollment and Opting Out
Enrollment. By signing the Agreement, each Shop is automatically enrolled in the Program and agrees to the Program terms set forth in this Section. No separate opt-in is required.
Opting out. Participation is voluntary. A Shop that does not wish to participate may opt out of the Program at any time by sending an email request to [email protected]. Upon opt-out, the Shop’s shared data will be removed from the Program within thirty (30) days.
No effect on subscription. Opting out of the Program does not affect the Shop’s subscription to, or use of, the Platform.
6.3 Data Collection and Redaction
To protect customer and shop privacy, we will redact all personally identifiable information (PII), including but not limited to:
- Customer personal information such as customer name, address, and contact information
- Vehicle Identification Numbers (VINs)
- Shop names
- Technician and advisor names
- Invoice amounts
6.4 Data Shared Through the Program
The following data will be shared with other participating Shops via the Mastertech app when a Shop seeks diagnostic assistance, or when using the Program to identify common parts and labor for vehicle repairs:
- Summary of the vehicle issue (concern, cause, and correction)
- Vehicle year, make, model, and engine (YMME)
- Labor and parts details related to the repair
6.5 Access to Shared Data
- Data is only accessible to Shops actively participating in the Program.
- Data will never be shared with the DIY community or individuals who are not part of the Program.
- Shared data can only be accessed through the Mastertech app when a Shop is actively looking for diagnostic assistance or help with identifying common parts and labor for vehicle repairs.
- Data shown through the Program will be aggregated across all participating Shops. In some cases, labor hour data may be shown in aggregate for a specific state or region, but only when there are at least five (5) participating Shops in that state or region. Individual Shop data will never be displayed or identifiable.
6.6 Removal on Subscription End
If a Shop’s subscription to the Platform ends, the Shop will be automatically removed from the Program, and its shared data will be deleted within thirty (30) days, unless AutoVitals receives the Shop’s express written consent to retain the diagnostic, parts, and labor data for the benefit of the Program community.
7. Disclaimer of Warranties
Except as expressly provided herein, the Platform, the Program, and any related data (including data shared through the Program) are furnished “as is” and without warranty of any kind. We make no representations or warranties, express or implied, with respect to the Platform, the Program, or the services offered. Specifically, we disclaim any implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant the accuracy, reliability, completeness, or timeliness of any materials, services, text, graphics, links, or shared data provided on or through the Platform or the Program, and Shops must exercise their own professional judgment when using such information. We do not warrant that the functions provided will be uninterrupted or error-free, or that the Platform or the servers that make it available are free from viruses or other harmful components.
8. Limitation of Liability
To the maximum extent permitted by law, in no event shall AutoVitals be liable for any direct, indirect, incidental, special, consequential, or punitive damages, or any damages whatsoever, including, without limitation, damages for loss of use, data, or profits, arising out of or in any way connected with: the access, use, or performance of the Platform; the delay or inability to use the Platform; the provision of or failure to provide services; any information, software, products, services, or related graphics obtained through the Platform; the use of or reliance on data shared through the Program; any errors in data redaction; or the inability to access the Program, whether based on contract, tort, negligence, strict liability, or otherwise, and even if AutoVitals has been advised of the possibility of such damages. If you are dissatisfied with any portion of the Platform or the Program, or with any of these Terms, your sole and exclusive remedy is to discontinue using the Platform and the Program.
9. Indemnification
You agree to indemnify, defend, and hold harmless AutoVitals, its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from or relating to: (a) your use of the Platform; (b) your participation in the Program, including the misuse of shared data; (c) your reliance on inaccurate or incomplete information; or (d) your violation of these Terms or the Agreement.
10. Data Processing and Privacy
Your use of the Platform is also governed by the AutoVitals Privacy Policy, available at https://www.autovitals.com/privacy/. By using the Platform, you consent to all actions taken by us with respect to your information in compliance with the AutoVitals Privacy Policy.
11. Law Enforcement and Legal Compliance
We reserve the right to disclose any information to comply with any law, regulation, legal process, or governmental request.
12. Links to Other Sites
The Platform may contain links to third-party websites or resources. You acknowledge and agree that we are not responsible for the availability of such external sites or resources, and do not endorse and are not responsible or liable for any content, advertising, products, services, or other materials on or available from such sites or resources.
13. Modifications to These Terms
AutoVitals reserves the right to update or modify these Terms at any time. We will notify Shops of any material changes in advance where required. Your continued use of the Platform, or continued participation in the Program, after the updated Terms take effect constitutes acceptance of the updated Terms.
14. Governing Law and Dispute Resolution
These Terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict-of-laws principles. Any dispute arising under or relating to these Terms, the Platform, or the Program shall be resolved through binding arbitration conducted in Delaware, in accordance with the rules of the American Arbitration Association. You may opt out of binding arbitration within thirty (30) days of the date you first agreed to these Terms by writing to [email protected].
15. Severability
If a provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
16. Assignment
We may assign our rights and obligations under these Terms. You may not assign yours.
17. Entire Agreement
These Terms, together with the Agreement and any legal notices posted on the Platform, constitute the entire agreement between you and AutoVitals with respect to the Platform and the Program. In the event of a conflict between these Terms and the Agreement, the Agreement will control unless expressly stated otherwise.
